Terms of Service

Thank you for choosing ThinLedge Innovations Ltd (TIL). We offer a comprehensive platform that includes ThinkLedger — our enterprise-level accounting software tailored for sectors such as banking, microfinance, retail, manufacturing, agriculture, healthcare, education, legal practices, and finance — along with related technology products, tools, websites, and services. By accessing or using the platform, you enter a legally binding agreement with TIL. Section A (these Platform Terms) applies broadly; product-specific terms may apply to certain offerings. If you act for a business or client, you bind them to these terms.

Platform use requires agreement to these terms and our Privacy Policy. To use the platform, you confirm that you are 18 or older and able to form contracts, are not barred by Ghanaian or other relevant laws, and for certain services you authorize TIL and its affiliates to access or refresh your data as needed for the service (per our Privacy Policy), for as long as your account is active.

Use the platform lawfully for internal, non-commercial purposes unless otherwise agreed. Beta features are provided "as is" for trial. We grant a limited, revocable, non-transferable license to install and use paid or trial software per order terms — not a sale. Backup copies are allowed with notices intact. Reverse-engineering is not permitted.

Create an account with accurate details (including any required identity verification). You are responsible for account security; notify us as soon as possible of any breach. Inaccurate information may limit access or cause issues.

Some features are free; others require fees or subscriptions (e.g. in Ghana Cedis or equivalent). Provide valid payment information; we may auto-renew and update via card networks. Annual plans receive renewal notices. You may cancel at any time via your account (effective at the end of the current period; no mid-period refunds unless otherwise stated in our sales policy). Trials may require purchase to continue.

Your inputs (text, files, and other "Content") remain yours; you retain intellectual property rights. Posting Content grants TIL a worldwide, non-exclusive, royalty-free license to host, display, modify, and use it for platform operation and improvement. We own de-identified and aggregated usage data. TIL retains all platform intellectual property.

You must not: break laws; post illegal or harmful content; spread malware or spam; impersonate others; reverse-engineer the platform; scrape without permission; infringe intellectual property; or misuse the platform for backups or archiving beyond permitted use. We may monitor and remove content and report where required by law. Repeat violators may be terminated.

AI tools on the platform are designed to enhance your experience but may make errors — please verify outputs. Your inputs may be used to improve these tools; you grant the permissions needed for that use.

You may cancel via your account. We may suspend or terminate access at any time. Deleting an app does not cancel your subscription or delete data — use account settings or contact support to do so. After termination: stop use and pay any outstanding dues. No refunds for unused periods unless otherwise stated.

The platform is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. TIL does not guarantee uninterrupted access, error-free operation, or specific results. Beta features and AI outputs carry no reliability promises — users should verify independently.

To the fullest extent allowed by Ghanaian law, TIL, its affiliates, and partners are not liable for indirect, incidental, consequential, special, or punitive damages (e.g. lost profits, data loss) arising from use of the platform, even if advised of the possibility. Total liability will not exceed the fees you paid in the prior 12 months. This applies regardless of negligence except in cases of gross negligence or willful misconduct.

You agree to indemnify, defend, and hold harmless TIL, its officers, directors, employees, and affiliates from claims, losses, or damages arising from your content, violations of this agreement, or infringement of third-party rights. TIL will control the defense and may approve settlements.

This agreement is governed by the laws of Ghana. Disputes are first subject to good-faith negotiation; unresolved disputes may proceed to arbitration in Accra under the Ghana Arbitration Act or to courts if arbitration does not apply. No class actions; the prevailing party may recover reasonable fees. The platform may be used only in a manner consistent with Ghanaian law and other applicable jurisdictions, and must not be exported to countries subject to embargoes or comprehensive sanctions.
